3. Payment Terms
Payment terms for software development projects will be specified in your project agreement. Generally:
- Project payments are typically structured in milestones
- Initial deposits may be required before project commencement
- Final payments are due upon project completion and delivery
- Late payment fees may apply as specified in project agreements
4. Intellectual Property
Unless otherwise specified in your project agreement:
- Custom software developed specifically for you will be owned by you upon full payment
- Pre-existing tools, frameworks, and methodologies remain our property
- We retain the right to use general knowledge and experience gained from projects
- Source code and documentation will be provided as specified in project agreements
5. Confidentiality
We understand the sensitive nature of software development projects and commit to:
- Maintaining strict confidentiality of your business information
- Implementing appropriate security measures to protect your data
- Not disclosing project details to third parties without consent
- Signing additional NDAs when required
6. Project Delivery and Acceptance
Software development projects will be delivered according to agreed specifications:
- Deliverables will be provided as outlined in project agreements
- Testing and quality assurance will be performed before delivery
- Reasonable revision periods will be provided for feedback
- Final acceptance criteria will be defined in project agreements
7. Support and Maintenance
Post-delivery support terms will be specified in project agreements:
- Bug fixes during warranty periods as specified
- Optional ongoing maintenance and support contracts
- Software updates and enhancements as requested
- Technical documentation and training as agreed
8. Limitation of Liability
Our liability for software development services is limited to:
- The total amount paid for the specific project or service
- Direct damages only, excluding indirect or consequential damages
- Reasonable efforts to correct defects during warranty periods
- Professional indemnity insurance coverage where applicable
9. Project Changes and Scope
Changes to project scope will be handled through formal change requests:
- All scope changes must be documented and approved in writing
- Additional costs and timeline impacts will be communicated
- Change requests may affect project delivery dates
- Emergency changes may be implemented with subsequent documentation
10. Termination
Either party may terminate services under the following conditions:
- With written notice as specified in project agreements
- Immediately for material breach of contract
- Payment for completed work will be due upon termination
- Deliverables completed to date will be provided upon payment
11. Governing Law
These Terms shall be governed by the laws of India, and any disputes will be resolved in the courts of Mumbai, Maharashtra.
